Docusign Binding Corporate Rules Contract
This legal contract (“Contract”) is entered into between the parties on the effective date of signature, for the purpose of establishing the binding corporate rules governing the processing and transfer of personal data by Docusign (“Company”).
Whereas, Docusign aims to ensure compliance with data protection laws and regulations, and to provide adequate protection for personal data transferred within the Company`s multinational organizational entities, and between the Company and its external partners;
Whereas, the Parties desire to establish binding corporate rules that provide a lawful basis for transferring personal data within the Company and outside the Company, to ensure the protection and security of personal data;
Now, therefore, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the Parties agree as follows:
1. Definitions
“Data Protection Laws” means any and all laws and regulations relating to data protection and privacy, including but not limited to the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and any other applicable laws;
“Personal Data” means any information relating to an identified or identifiable natural person as defined in the Data Protection Laws;
“Processing” means any operation or set of operations which is performed on personal data, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction;
2. Binding Corporate Rules
The Parties shall establish binding corporate rules that govern the processing and transfer of personal data within the Company and between the Company and its external partners in accordance with the Data Protection Laws;
